Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Medisoph platform, websites, and related services (collectively, the "Service"), operated by Medisoph Technologies Pvt. Ltd. (company registration in progress) ("Medisoph", "we", "us", or "our"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a facility or organisation, you represent that you are authorised to bind that organisation.
1The Service
Medisoph provides cloud-based operations software for post-acute, residential, and home-based elder care providers, including resident management, care planning, medication administration records, billing and invoicing, insurance and claims handling, staffing, inventory, and compliance tracking. We may add, modify, or discontinue features over time. The Service is provided on a software-as-a-service basis and is accessed through a web browser.
2Accounts and eligibility
To use the Service you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use. You are responsible for the conduct of every user you invite to your workspace, including front desk and back office staff.
The Service is intended for use by registered care facilities and their authorised staff. You must be at least 18 years old and capable of forming a binding contract to use the Service.
3Subscriptions, plans, and free trial
The Service is offered under subscription plans sized by facility bed count, as described on our pricing page. Plan fees, inclusions, and limits are set out at the time of purchase. We may revise pricing on a prospective basis; changes will not affect the current paid billing cycle.
A free trial of up to five (5) days may be made available at our discretion, and only after you have contacted our sales team and been approved for a trial. Trials are intended for evaluation. We may modify or withdraw trial availability at any time. Unless you subscribe to a paid plan before the trial ends, access may be suspended at the end of the trial period.
4Payment and refunds
Subscription fees are billed in advance through our payment processor. By subscribing, you authorise us and our payment processor to charge your selected payment method for the applicable fees, including any taxes.
You may request a refund within thirty (30) days of a payment. Refund requests made within this window will be honoured for the most recent payment. After thirty (30) days from the date of a payment, that payment is non-refundable. To request a refund, contact support@medisoph.com. Refunds are returned to the original payment method and may take several business days to process depending on your bank or card issuer.
5Your data and ownership
As between you and Medisoph, you retain all rights to the data you and your users enter into the Service, including resident records, clinical information, billing data, and staff records ("Customer Data"). We do not claim ownership of Customer Data.
You grant us a limited licence to host, process, transmit, back up, and display Customer Data solely to provide and maintain the Service, to provide support, and as otherwise permitted by our Privacy Policy. You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining all consents required to enter resident and staff information into the Service.
6Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation, including health, data protection, and consumer protection laws;
- Upload malicious code, attempt to gain unauthorised access to the Service or other customers' data, or probe or test the vulnerability of any system;
- Reverse engineer, copy, or resell the Service except as expressly permitted;
- Use the Service to store or transmit data you are not legally entitled to handle;
- Interfere with or disrupt the integrity or performance of the Service.
7Healthcare disclaimer
Medisoph is an operations and record-keeping tool. It is not a medical device, does not provide medical advice, and does not replace the professional judgement of licensed clinicians. You are solely responsible for clinical decisions and for compliance with all applicable standards of care. We do not guarantee any particular clinical, financial, or compliance outcome.
8Availability and support
We work to keep the Service available and reliable but do not warrant uninterrupted or error-free operation. We may perform maintenance, and we may suspend access where necessary to protect the Service or comply with law. Support is provided through the channels and response targets described on our pricing and contact pages.
9Suspension and termination
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle, subject to the refund terms above. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to others or to the Service. On termination, we will make Customer Data available for export for a limited period as described in our Privacy Policy, after which it may be deleted.
10Limitation of liability
To the maximum extent permitted by law, Medisoph and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
11Indemnity
You agree to indemnify and hold harmless Medisoph from any claims, damages, liabilities, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms, including claims that your Customer Data infringes the rights of a third party or was collected or used without required consent.
12Governing law and disputes
These Terms are governed by the laws of India. Subject to applicable law, any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the competent courts in India. Nothing in this clause limits any right you may have to bring proceedings in a forum required by mandatory law.
13Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
